This Agreement is between GovYapar Ventures Pvt. Ltd. ("GovYapar", "we") and the professional who registers on the GovYapar Expert Network (the "Expert", "you"). By accepting this Agreement during onboarding, you agree to the terms below.
You are engaged as an independent professional, not an employee, agent, or partner of GovYapar. Nothing here creates an employment or partnership relationship. You are responsible for your own taxes, registrations, and statutory obligations.
GovYapar routes client requests, consultations, and engagements to you based on your stated areas of expertise and availability. You may accept or decline work. When you accept, you agree to deliver it professionally, lawfully, and within the agreed timelines and service levels.
Client information you access through GovYapar is confidential. You will use it only to deliver the assigned work, will not disclose or misuse it, and will keep it secure. This obligation survives the end of this Agreement.
Clients introduced to you through GovYapar remain GovYapar's clients for the duration of the relationship and for a reasonable period after. You will not solicit or take such clients off-platform to circumvent GovYapar, nor solicit other experts or staff, during the term and for the period stated at onboarding.
Deliverables you create for a client are, on full payment, owned by the client (or GovYapar as it directs). You retain no rights in client deliverables beyond what the client grants.
GovYapar collects fees from clients and pays your share per the rates and schedule communicated to you. GovYapar may deduct its platform fee/commission. Payouts are made to the account/UPI you provide.
You will handle personal data (including PAN, GSTIN, and contact details) in line with applicable law, including the Digital Personal Data Protection Act, 2023 — collecting only what is needed, keeping it secure, and not retaining it longer than necessary.
You are responsible for the quality and correctness of your own work and advice. You will indemnify GovYapar against claims arising from your negligence, misconduct, or breach of this Agreement. GovYapar is a platform that connects clients and experts and is not liable for the professional advice you provide.
Either party may end this relationship with reasonable notice. GovYapar may suspend or remove you immediately for breach, client-safety, or legal reasons. Confidentiality, client-ownership, IP, and indemnity clauses survive termination.
This Agreement is governed by the laws of India, with courts at Etawah, Uttar Pradesh (or as GovYapar specifies) having jurisdiction, subject to any arbitration GovYapar adopts.
