In a traditional partnership, partners have unlimited liability — your personal assets are at risk for the firm's debts. In an LLP, liability is limited to your contribution, and one partner isn't liable for another's misconduct.

Compliance and identity

An LLP is a separate legal entity with perpetual existence and MCA registration, requiring annual filings. A partnership firm is simpler and cheaper to run but offers less protection and credibility.
